The terms and conditions for usage of the Cellarette Platform as set forth herein (“Terms of Use”) exclusively govern your access and utilization of the Cellarette Platform, which serves as a platform for you to, among other things, facilitate the discovery, selection, and purchase of Products listed on the Cellarette Platform at the specified price, available from eligible service locations.
  2. Please take note that we may periodically modify the Terms of Use that regulate your employment of the Cellarette Platform. Whenever you intend to utilize our Cellarette Platform, kindly review these Terms of Use to ensure your comprehension of the prevailing terms and conditions. Furthermore, please be advised that we retain the right to alter the format and content of the Cellarette Platform or temporarily suspend its operation for maintenance or support purposes, to update its content, or for any other valid reason, at any given point.

This electronic record is produced by a computer system and does not necessitate any physical or digital signatures.

We authorize your access and utilization of the Cellarette Platform solely for the purpose of identifying Products, conducting Product purchases, and managing returns and refunds in adherence to the Return and Refund Policy. Therefore, we grant you a limited, revocable authorization to access and employ the Services.
  6. Upon acceptance of this Agreement, you affirm that you are of legal age, 18 (Eighteen) years or older, and possess full competence to enter into this Agreement, as well as to adhere to and comply with its provisions. If a user is below the age of 18 (Eighteen), it is presumed that they are utilizing the Cellarette Platform under the guidance of their parent or legal guardian, and that such parent or legal guardian has reviewed and consented to the terms of this Agreement, including the terms related to the acquisition of Products on behalf of the minor user. Should we become aware of a user under the age of 18 utilizing the Cellarette Platform without parental or legal guardian supervision, we reserve the right to deactivate the user’s account without prior notice. Additionally, if you are utilizing the Services on behalf of an entity or organization, you confirm that you possess the authority to act on behalf of said entity, and that the said entity acknowledges and accepts this Agreement.
  1. To purchase Products on the Cellarette Platform and/or access the Services, you must complete the registration process on the Cellarette Platform. Registration is a one-time procedure. To place an order, you must log in to your account.
  2. You alone are authorized to operate the account you have established. It is therefore your responsibility to uphold the confidentiality of your login credentials for your Cellarette Platform account and to prevent unauthorized access to your account by securing your computer, mobile device, or similar equipment. You bear full responsibility for all activities conducted through your account.
  3. You must: (a) immediately notify us of any unauthorized account use or security breaches; and (b) ensure that you log out of your account at the conclusion of each session. We, along with our employees, agents, directors, and officers, shall not be held liable for any losses or direct/indirect damages arising from your failure to adhere to these Terms of Use. You may be held accountable for losses incurred by us or any other user due to unauthorized use of their account by you. We retain the right to deny access to the Cellarette Platform, deactivate accounts, or modify/remove content at our discretion, without prior notice to you.
  1. By agreeing to the Terms of Use, you also agree to receive news, updates, offers, and campaign-related SMS to the mobile phone number you have provided. Through your access and utilization of the Cellarette Platform and/or upon verifying your contact number with us, you explicitly grant permission to receive such communications (via call, SMS, email, or other digital and electronic means) from us and/or our authorized representatives, concerning any new services or offerings. This consent applies even if your contact number is listed on the DND/NCPR registry as per the Telecom Commercial Communications Customer Preference Regulations, 2018.
  2. You retain the ability to unsubscribe or opt-out from receiving marketing, promotional communications, newsletters, and other notifications from us at any time. Instructions for opting out can be found within such communications.
  1. The Cellarette Platform contains content, including text, visuals, and audio, that is safeguarded by copyright and/or other forms of intellectual property rights (“Cellarette Content”). All copyright and intellectual property rights pertaining to the Cellarette Content are either owned by us or have been duly licensed to us by the respective rights owners, enabling the use of Cellarette Content as part of Cellarette. We maintain copyright over all information, including text, visuals, and audio, and all trademarks showcased on the Cellarette Platform are either owned by us or licensed to us.
  2. You are permitted to use and display the Cellarette Content on your personal computer solely for personal purposes, subject to a limited, revocable, personal, non-exclusive, and non-transferable license granted by us upon registering on the Cellarette Platform. This license is exclusively for identifying Products, conducting Product purchases, and processing returns and refunds in accordance with our Return and Refund Policy. Additionally, it allows for using and printing copies of the information on the Cellarette Platform for personal utilization, with files stored on your computer solely for personal use and not for business purposes.
  3. The following actions are prohibited: (a) copying (whether through printing on paper, storage on disk, downloading, or any other means), distribution (including distribution of copies), downloading, display, performance, reproduction, distribution, modification, editing, alteration, enhancement, broadcasting, or tampering with any Cellarette Content present on the Cellarette Platform. These limitations apply to all or part of the Cellarette Content available on the Cellarette Platform; (b) copying and distributing the Information on any other server, or altering or reusing text or visuals on this system or any other system; (c) reproducing any portion of the Cellarette Platform or distributing the same for commercial gain, or incorporating it into any other work, publication, or website, whether in physical or electronic format, including postings on other websites; (d) removing any copyright, trademark, or other intellectual property notices from the original material when copying or printing material from the Cellarette Platform; or (e) establishing links between other material and the Cellarette Platform without our explicit written consent.

The license granted to you does not encompass the right to: (a) resell Products or use the Cellarette Platform or Cellarette Content for commercial purposes, (b) collect and utilize product listings, descriptions, or prices, (c) employ the Cellarette Platform, the Services, and/or Cellarette Content in any manner other than as stipulated in these Terms of Use, (d) download or copy user login credentials, (e) employ data mining, robots, or similar tools to extract any part of the Cellarette Platform, whether once or multiple times, and (f) develop and/or publish your own database featuring parts of the Cellarette Platform.

  6. All the trade names associated with us and all Products and logos denoted with TM are trademarks or registered trademarks of us or our affiliates. Our trademarks may not be used in connection with any product or service that is not our product or service.

You agree to indemnify, defend, and hold Cellarette, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives harmless from any and all third-party claims, losses, liabilities, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the Cellarette Platform or the Services, your violation of these Terms of Use, or any infringement of our or any third-party’s intellectual property or other rights. Cellarette will promptly notify you of any such claim, loss, liability, or demand. Furthermore, in addition to the above, you consent to providing Cellarette with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.

These Terms of Use are subject to and shall be construed in accordance with the laws of India, without regard to the choice or conflicts of law provisions of any jurisdiction. You agree that in the event of any dispute arising in connection with these Terms of Use or any dispute related to the Cellarette Platform, whether in contract, tort, or any other legal theory, you will submit to the jurisdiction of the courts located in New Delhi, India, for the resolution of all such disputes.
